Responsibilities:

• Draft Transaction Documents – Prepare merger agreements, asset purchase agreements, and ancillary documents for M&A deals valued at $5M–$30M, ensuring compliance with 2025 SEC and Connecticut regulations.
• Conduct Due Diligence – Review corporate records, financials, and contracts to identify risks, preparing detailed memoranda to facilitate smooth deal execution.
• File Regulatory Submissions – Submit filings, such as Form D or state merger notifications, coordinating with authorities to meet statutory deadlines.
• Structure Financing Agreements – Draft term sheets and loan agreements for equity and debt financings, aligning terms with deal objectives.
• Revise Governance Documents – Update operating agreements and bylaws to reflect transaction outcomes, ensuring legal precision.
• Manage Closing Processes – Organize and verify closing documents, including resolutions and consents, to finalize multi-party deals efficiently.
